As a senior partner in Haynes and Boone’s Employee Benefits and Executive Compensation Practice Group, Jesse Gelsomini's principal areas of practice are Employee Benefits, ERISA and Executive Compensation. His experience spans a broad range of employee benefits and executive compensation matters, including legal and tax requirements for qualified retirement plans, fiduciary issues, health and welfare benefits plans, and stock and other types of incentive compensation arrangements. Jesse has extensive experience in designing, drafting and administering employee benefits plans for publicly traded, private and governmental employers. He also handles the regulatory issues under applicable laws, including ERISA, the Internal Revenue Code, HIPAA, COBRA and state laws, as well as investigations, audits and other compliance matters involving the IRS, Department of Labor and other governmental agencies. Jesse also has decades of experience in designing and drafting employment agreements for employers and executives, equity compensation, performance incentives, deferred compensation, and change in control arrangements, as well as the associated securities law disclosures, corporate governance and other compliance requirements. He regularly counsels clients on matters involving executive compensation and employee benefits, both in the ordinary course of the client’s business and in the context of mergers and acquisitions, joint ventures, bankruptcies and restructurings, and other corporate transactions.
