Juan Ignacio López is a partner in the tax area of GLZ Abogados, specializing in providing tax advice to clients in mergers, acquisitions and corporate reorganizations; he also advises clients on various tax aspects of financing transactions and securities offerings, among others.

Juan Ignacio's experience also includes litigation before tax authorities in administrative and judicial proceedings, representing clients in lawsuits involving tax obligations in connection with income tax and value added tax, among others, as well as legal appeals challenging the constitutionality of Mexican tax regulations and tax laws.

Juan Ignacio also has experience in customs and foreign trade matters such as tariff classification issues and applicable import and export taxes, as well as litigation before customs authorities, to mention a few.

Juan Ignacio has worked in highly recognized firms both in Mexico and abroad, including White & Case, S.C., Nader Hayaux y Goebel, S.C. and Creel, García-Cuéllar, Aiza y Enríquez, S.C., and throughout his career he has advised clients on various tax aspects of their operations in Mexico, including, among others, the following areas: Projects, Energy and Infrastructure, Capital Markets, Banking and Finance.

Juan Ignacio received his LL.M. in Taxation from Boston University (2014) and his law degree from Universidad Anáhuac in 2010.

Some of his recent involvements include:

* Represented a railroad company with operations in Mexico in several matters, including several litigation matters regarding the interpretation of various legal provisions as well as tax credits; on the other hand, he also advised his client on tax issues in Mexico in connection with the merger of its US parent company with a Canadian railroad valued at USD$31 billion, resulting in the creation of a single-line rail network linking the US, Mexico and Canada.

* Advised a U.S.-based gold and copper mining company with worldwide operations on its $10 billion acquisition of a Canadian gold producer.

* Represented a mining company in connection with various litigations before the tax authorities in connection with tax credits arising from an incorrect application of tax provisions.

* Advised several banks and financial institutions in various tax matters related to investment banking, securities, commercial banking, lending, asset management and day-to-day operations.

* Advised a multinational independent power producer in the acquisition of a solar project in Mexico.

* Represented several clients in customs and foreign trade matters, such as the restructuring and expansion of IMMEX operations; customs and foreign trade audits; customs administrative proceedings and customs litigation.

* Advised several investment banking firms in the structuring and placement of Mexican listed funds.

* Advised banks and investors in the structuring of infrastructure projects.

* Advised one of the world's largest investment management companies on a wide range of tax matters related to its start-up operations in Mexico.

Experience

Juan Ignacio has ample experience in providing tax advisory services in connection with the full range of activities of different clients, including cross-border and domestic transactions, projects and mergers, corporate restructurings, international taxation as well as the design and implementation of tax efficient structures.

He continuously advises and represents clients in tax litigation at the federal and local courts, having been successfully involved in several high-profile cases, has also represented clients on Mexican customs matters and foreign trade issues.

In over 12 years,he has provided strategic tax planning advice and representation on a variety of complex transactions, such as:

• Mergers and acquisitions (including due diligence on tax compliance), post-acquisition restructurings and reorganizations

• Spin-offs/split-offs and spin-merge transactions;

• Equity offerings and debt financing;

• Private equity transactions;

• Structured finance and tax-advantaged investments

• Investment and hedge funds and REITs (Fibras Equivalent in Mexico)

• Tax Litigation

Juan Ignacio has represented multinational companies and have provided state-of-the-art advise in relation to tax law and on a tailor made basis and I often work with other firm’s groups in developing tax-efficient structures for financing, hybrid structures, acquisitions, joint ventures and other investments with clients.
