Kranti Mohan has over 15 years of experience in advising on Indian securities laws. He has advised on almost the entire spectrum of capital markets transactions, including IPOs, QIPs, rights offerings, overseas listings (including through business trust route), buybacks, and block/ bulk trades on the stock exchanges. Over the last few years he has also extensively advised on establishing and listing business trusts, infrastructure investment trusts, real estate investment trusts and yieldcos.
Kranti is also a member of the Hybrid Securities Advisory Committee constituted by SEBI and a member of APREA’s India Infra and InvITs Committee.
He was an active participant in the Firm’s initiatives related to the consultation process on various aspects of Invits and REITs and collaborated with few stakeholders in making representations to various governmental/ regulatory authorities, including the Prime Minister’s Office, Ministry of Finance, Central Board of Direct Taxes, the Reserve Bank of India and SEBI.
In the past, Kranti was also a member of the committee constituted by SEBI for streamlining disclosure standards for equity offerings and the working group on evaluating REITs of CII.
Relevant Experience:
1. Advised India Grid on the first public issue of debt securities, first rights issue by a listed InvIT and first preferential issue of units by an InvIT in India, first PIPE transaction involving an InvIT and acquisition of assets and initial public offering of units by India Grid Trust.
2. Advised Reliance on the Tower Infrastructure Trust and Digital Fibre Infrastructure Trust.
3. Represented four marquee investors regarding their investment in the units of Oriental InfraTrust.
4. Advised IndInfravit Trust and its sponsor on the private placement and listing of units by IndInfravit Trust, being the first listing of units through the private placement route in India.
5. Advised PGCIL and POWERGRID Infrastructure Investment Trust on its public issue of units and the book running lead managers on the initial offer of units by the National Highway Infra Trust sponsored by NHAI.
6. Advised Shrem InvIT and their sponsor on the private placement and listing of units by Shrem InvIT.
7. Advised Virescent InvIT on its issuance of domestic debt securities.
8. Advised Angel Broking, ICICI Securities Limited and Future Supply Chain Solutions Limited on their respective initial public offers of equity shares.
9. Advised The Indian Hotels Company Limited on its rights issue of equity shares.
10. Advised Kotak Mahindra Bank Limited and Oberoi Realty Limited on their qualified institutions placement.
11. Advised on the buy-back of equity shares by HCL Technologies Limited and Just Dial Limited.
12. Advised on international bond issuances by HPCL - Mittal Energy Limited and Adani Transmission Limited.
