Transactions include purchases and sales of entire businesses, as well as subsidiaries and divisions, in a range of industries, including automotive, infrastructure, manufacturing, insurance, telecommunications, and life sciences. Regularly advises clients regarding international transactions. Also provides counsel regarding securities regulation and securities law compliance matters. Has represented issuers in initial public and private securities offerings, including high-yield debt offerings and demutualizations. Extensive experience acting as general counsel to private equity portfolio companies.
