Career

Matt Friestedt leads the Firm’s executive compensation M&A practice. He is experienced in handling all matters involving the compensation of senior executives, including employment, change in control, equity compensation and severance arrangements. He has worked on over $2 trillion of M&A transactions and written extensively on executive compensation practices and the Section 280G “golden parachute” tax rules. He also regularly advises on governance issues.

Recent representations include: Amazon.com’s $14 billion acquisition of Whole Foods; AT&T’s $109 billion acquisition of Time Warner and spin-off of WarnerMedia; Bayer’s $66 billion acquisition of Monsanto; Biohaven’s $12 billion sale to Pfizer; Concho’s $14 billion sale to ConocoPhillips and $10 billion acquisition of RSP Permian; Credit Suisse’s $3 billion sale to UBS; Enbridge’s $43 billion acquisition of Spectra; Fiserv’s $22 billion acquisition of First Data; GGP’s $28 billion sale to Brookfield; Harris’ $35 billion merger of equals with L3; Kite Pharma’s $12 billion sale to Gilead Sciences; Kraft’s $55 billion merger with Heinz; PRA Health Sciences $12 billion sale to ICON; Seagen’s $43 billion sale to Pfizer; Teva’s $40 billion acquisition of Allergan Generics; Triton’s $13 billion sale to Brookfield Infrastructure; and UnitedHealth’s $14 billion acquisition of Change Healthcare.
