He specializes in cross-border mergers and acquisitions (M&A), joint ventures, private equity, and foreign direct investment. He works with clients operating in various business sectors, including telecommunication, logistics, healthcare, media, education, manufacturing, energy, and financial services.
Work Highlights
Michel advised Phenna Group on its acquisition of Cutech Group, a leading non-destructive testing business with operations in Saudi Arabia. He also advised the shareholders of Saudi Aluminium Industries Company (Salumco) in the sale of a 33.33% stake in the company to Increase Industrial Development Co.
He counselled Al Ahmadiyah Contracting & Trading Co in negotiating a joint venture for a project awarded by Shomoul Asharqiah Commercial Development and Investment JV LLC, involving the construction of The Avenues Khobar. Additionally, he advised Allub Industrial Company on its acquisition of 100% of Al Aber Global Industrial Company.
Michel’s expertise also extends to advising Agility on contracting and service agreements with Petrofac, Pfizer, and Nokia in Saudi Arabia and the UAE. He also advised Al Sayer Group on the 100% acquisition of Bayan Dental Clinic for USD 20 million and provided counsel to Mobile Telecommunication Company (Zain) in Kuwait on its joint venture arrangement with iFlix/YoYo.
Further engagements include advising STC (Viva Kuwait) on its acquisition of e-Portal and on its acquisition of 100% of the share capital of Qualitynet General Trading and Contracting Company. Michel also advised the shareholders of Kuwait English School on the sale of 100% of its equity to Sama Education for approximately USD 50 million.
His other work includes advising Bayan Medical Company on acquiring a majority stake in Sky Dental and advising Agility on the acquisition of Kazoo & More WLL in Kuwait for approximately USD 10 million. He provided counsel to the shareholders of Trafalgar WLL in Kuwait on the sale of 50% equity to the Maarouf family.
Notably, Michel advised the shareholders of Talabat on the sale of 100% of its capital to Germany-based Rocket Internet.
