Nivedita is highly experienced in a range of corporate areas and specializes in mergers and acquisitions and court based restructuring, both domestic as well as cross border. She also has extensive experience in private equity investments, joint ventures as well as a range of corporate advisory matters across industry sectors. She has advised on a significant number of high-profile and complex M&A transactions spanning multiple jurisdictions, and is an expert in issues pertaining to structuring, documentation and implementation of M&A transactions and advising on regulatory issues including under foreign investment and SEBI laws.
Relevant experience:
1. Aditya Birla Fashion & Retail Limited on investments by GIC Singapore of INR 2195 crore and by Flipkart Investments Private Limited of Rs. 1500 crore
2. Hinduja Global on its USD 1.2 billion sale of global healthcare business to Barings.
3. Tata Consumer on the reorganisation of its India and international businesses.
4. The Reliance group on a fundraise of over USD 6.5 billion dollars for its retail business by investment of ~10% stake in investment from the various private equity investors Silver Lake Partners (SLP), KKR, Mubadala, ADIA, GIC, TPG, General Atlantic and PIF. This is the largest ever private equity investment in the retail space in India.
5. ABB Limited on various acquisitions and restructurings, including its power grids business to Hitachi, turbocharging business via an internal reorganisation and its mechanical power transmissions to RBC Bearings.
6. Hindustan Unilever Limited (HUL) on the merger of GlaxoSmithKline Consumer Healthcare Limited with HUL.
7. Mistsui Sumitomo on its investment in Max Life insurance and various follow-on corporate transactions with Max Life Insurance.
