Main Areas of Practice:
Corporate Transactions & Counseling:
The group has experience in M&A, joint venture, and capital raising transactions of all types, and in working with entrepreneurial companies. Attorneys counsel corporate clients in the areas of governance, shareholder relations, antitrust planning, distribution, tax and securities. Transactional attorneys handle matters that include public and private equity and debt placement, conventional and asset-based lending, commercial real estate finance, structured and asset-backed financing and securitization, and leveraged ESOPs, as well as industrial revenue bonds.
Environmental:
Attorneys assist clients with compliance counseling, obtaining and negotiating permits, business transactions and planning, facility cleanups, and administrative adjudication before federal and state agencies, among other activities. Environmental attorneys evaluate and manage environmental issues in real estate and business transactions that involve water, soil and air regulatory compliance, as well as enforcement and emerging legal issues associated with climate change, oil and gas pipelines, vapor intrusion and advanced remediation solutions.
Finance, Insolvency & Restructuring:
Attorneys represent secured and unsecured creditors, borrowers, guarantors, trustees and creditors’ committees, including negotiating and drafting loan agreements, negotiable instruments, and other commercial transactions. They also represent creditors and obligors nationally in out-of-court workouts and refinancings, as well as in various state and federal courts.
Governmental Services & Finance:
Attorneys represent government issuers and underwriters in government bond financings and many other public finance projects in several states. Attorneys also assist a variety of clients at the local, state, and national levels through lobbying and public affairs efforts. Litigation:
Litigators have represented businesses in controversies in all 50 states and before most of the US federal courts, as well as before various international and multijurisdictional tribunals. The firm has key practices in white collar criminal defense, insurance recovery, construction, compliance, drug and medical device litigation, and product liability, among others.
Real Estate Services:
Services include rezoning and land-use planning; negotiation of financing; project development; organization of owners’ associations and development of architectural standards; leasing, sale, or tax-free exchange of the completed project, and other matters, including litigation.
