Financial Services: The financial services practice group provides legal services to a wide range of banks, broker-dealers and investment advisors, including foreign, money center and community banks, national and local broker-dealers and investment advisors. The group has extensive experience in handling financial institutions’ mergers and acquisitions, federal and state regulatory matters, documentation of domestic and cross-border transactions, work-outs, financial institutions-related litigation and all other aspects of the law affecting such institutions.
Corporate: The corporate practice group provides a wide range of corporate and business services, including structuring and negotiating new business ventures, mergers and acquisitions and advising on traditional corporate, partnership and commercial law issues. In the securities area, the group counsels clients in private and public securities offerings in the United States and abroad and assists in preparing corporate and insider filings required by the Securities and Exchange Commission and the stock exchanges.
Real Estate: The real estate practice group represents a broad range of domestic and foreign entrepreneurs, developers, investors and lenders, with emphasis on institutional clients such as national and multinational corporations, insurance companies and banks. The firm advises its clients in all aspects of their real estate transactions, including acquisitions, sales, development, land use, zoning, environmental, financing, leasing and construction. It also assists the corporate and international departments in structuring the real estate aspects of large corporate and international transactions.
Intellectual Property: The intellectual property group handles a wide range of litigation, including patent, trademark, and copyright litigation. It also assists with patent, trademark and copyright registrations and proceedings before the Patent & Trademark Office. The team also counsels clients on antitrust litigation related to patents and copyrights. Other IP issues handled include patent, trademark and copyright licensing and royalties, non-disclosure agreements and computer software agreements, as well as antitrust concerns related to such agreements and licenses. Globally, the team prosecute and enforce patent and trademark rights for US and international corporations. In addition to conducting business throughout the hemisphere, the group’s members are frequently invited to Latin America to lecture on US legal issues affecting the region.
Litigation: The commercial litigation practice group has vigorously represented clients at all levels of federal and state court systems and before numerous state and federal agencies, commissions, boards and other regulatory and administrative authorities. The group handles all aspects of the litigation process, from counseling and alternative dispute resolution mechanisms, through the prosecution or defense of discovery, pretrial and trial proceedings in lawsuits, to post-trial remedies and review in appellate courts. The group’s practice includes a wide variety of administrative, trial and appellate cases, including construction, labor and employment, creditors’ rights and bankruptcy matters.
Creditors’ Rights and Bankruptcy: Shutts represents clients in corporate reorganizations and other bankruptcy matters (including Chapter 7 and 11 bankruptcies), loan workouts and restructurings, commercial foreclosures, receiverships and a wide variety of debtor-creditor disputes in federal and state courts. The firm represents lenders, secured and unsecured creditors, investors, trustees, receivers and others in a broad range of industries.
Construction: Shutts attorneys assist clients in all phases of public and private construction contracting and dispute resolution, including: licensing; compliance; bid protests; contract drafting, negotiation and enforcement; claims notice and preservation; and litigation and arbitration claims involving defective design and construction, delay and interference, lien and bond claims, insurance coverage disputes and product liability claims.
