Stratulat Albulescu is a leading full-service Romanian law firm, providing strategic and innovative legal solutions to both national and international clients across every business sector.
Silviu Stratulat started the firm over ten years ago. Since then, it has continued to grow and diversify, and it now has more than 35 lawyers on staff. The firm's expansion has allowed it to build a firm composed of lawyers who are leaders in their field.
The variety of specialties within the firm allows it to provide business advisory and dispute resolution services in a wide range of circumstances. When needed, the firm can pull together a multi-disciplinary team. It assists clients in negotiating and closing transactions and in planning and managing their business operations more effectively. If a dispute arises, the firm provides representation both in court and in other forums.
The firm’s lawyers have years of experience working in English with foreign clients and law firms. The firm emphasises the importance of English language skills for its lawyers and staff on a continuing basis. Its lawyers are also fluent in a variety of other languages.
Main Areas of Practice:
- Banking and finance: international and local lending transactions, syndicated lending, leveraged and acquisition finance, asset financing, derivative products, project finance, financial regulations (bank contracts and operations), structured financing, and insolvency and restructuring matters. Partner Cristian Vlaicu leads this practice area.
- Competition law: antitrust cases and concentration operations and the governing national and EU procedural requirements. Partner Ana-Maria Kusak leads this practice area.
- Corporate and M&A: company formation, registration of companies, organisation and operation, reorganisation, mergers and acquisitions, which can include asset deals, and advising through all stages of a project, including due diligence reports, structuring, documenting, and negotiating the transaction. Managing Partner Silviu Stratulat leads this practice area.
- Dispute resolution: corporate and commercial litigation, real estate litigation, labour conflicts and employment litigation, insurance and transport contract disputes and professional negligence. Partner Adriana Dobre and Counsel Roxana Catea and Counsel Luiza Ionescu-Donoiu lead this practice area.
- Employment and labour: all manner of employment law requirements, including contested employment and social security issues that arise in the course of business; employment-related issues that arise from the transfer of businesses, corporate restructuring and reorganisation, and outsourcing or insourcing operations. Partner Andrei Albulescu leads this practice area.
- Data Protection: reviewing commercial agreements to comply with legislation on data protection, registrations with the competent authorities, assistance during inspections by the governing authorities, revising confidentiality policies to comply with data protection requirements. Partner Ana-Maria Kusak leads this practice area.
- IP/IT: trade marks, design and models, copyright, domain names, contractual assistance, IT (including software and cloud services agreements), employee inventions, customs enforcement of intellectual property rights, and transactional intellectual property. Advising on all aspects of Telecoms and media and also Life Sciences. Partner Ana-Maria Kusak leads this practice area.
- Real estate and urban planning: assist developers, contractors, engineers, real estate investment funds, banks and other financial institutions and advice about zoning regulations, municipal restrictions, licensing procedures, and authorisations for urban operations. Managing Partner Silviu Stratulat leads this practice area.
- Energy and natural resources: renewable energy, upstream and downstream oil and gas, electricity, natural gas, water, waste management, low-carbon policies and sustainability, and regulation across the sectors.
Projects:
During the last years, the firm, working together in teams, undertook significant legal and practical challenges that it can reflect upon with satisfaction.
Of particular note, it can specify:
- Advised SIBS, a major payment processor operating in Europe and Africa, on the acquisition of Wirecard companies in Romania, namely Wirecard Romania (previously Provus Service Providers, Romcard and Supercard Solutions &Services.
- Advising Hidroelectrica, a state-owned company and the Romanian leader in electricity production, on the planned acquisition of all the assets owned by CEZ Romania, one of the main integrated utility leaders in Romania. The deal is valued at approximately EUR 1-1.2 Billion, which will make it the largest M&A deal in Romanian history.
- Advised Corporate Finance House Group (CFH), a Middle Eastern investor, on the acquisition of the Day Tower building, one of the largest office buildings in Bucharest, extending over 19,000 sq.m. and with an 11,753 sq.m. gross leasable area.
- Advised PitechPlus, an IT company offering a wide range of digital services, on the sale of the majority stake held by its founder to Webhelp SAS, the European leader in the payment, customer experience and contact center services.
- Advised Morphosis Capital, a Private Equity fund focused on growth capital investments in Romanian Small and Medium Enterprises (SMEs), a project cofinanced from the European Regional Development Fund through the 2014-2020 Regional Operational Program, on its investment in DocProcess, a successful tech start-up having developed a cloud finance and accounting automation solution based on Robotic Process Automation and eInvoicing.
- Advised Amphenol, one of the largest manufacturers of interconnect products in the world, on the acquisition of the majority stake in GJM automotive components business (an international group present in Romania with two production facilities).
- Advised VTB Bank (Europe) on the EUR 124 mil financing of the acquisition of Oltchim SA assets by Chimcomplex S.A. Borzesti.
- Advised World Class Romania, the leading health club operator in Romania and an investment by Polish Private Equity Fund Resource Partners, on the acquisition of several fitness clubs (e.g. Planet Swim & Gym, Club Moving - its largest competitor on the Romanian market, etc).
- Advised EDS Romania - part of Euro-Druckservice Group - a leading service provider in the print service sector in CEE, on the acquisition of the heat-set printing business “as a going concern” of Mega Press Holdings SA, one of its largest competitors on the Romanian market.
- Advised Teads the inventor of native video advertising and the leading outstream video marketplace, on the acquisition of Brainient.
- Advised AL-KO Kober Group, a global player in the gardening, air technology and automotive sectors, on the sale of one of its divisions, ALKO Actuation Systems GmbH.
- Advised GapMinder, a VC Fund financed via Competitiveness Operational Programme 2014 – 2020 and co-financed by the European Fund for Regional Development, on its investments in SmartDreamers, Fintech OS, TypingDNA, MediJobs, Frisbo, Cartloop, Soleadify, Deepstash and Druid, all tech start-ups leading in their fields.
- Advised Private Equity Fund Vitruvian Partners LLP and its investment, Jac Travel Group Ltd., the leading global B2B hotel services supplier, on their add-on acquisition of Totalstay Group, a large European online hotel booking agency.
- Advised award winning property fund manager First Property Group PLC, with operations in the UK, Poland and Romania, on the acquisition of the “MAESTRO BUSINESS CENTER” Office Building located in Cluj-Napoca, Romania.
- Advised the founders of Froala Labs, a tech start-up offering tools for web and mobile app developers to 6000 clients in 110 countries including Apple, Samsung, Toyota, Amazon and Reuters, on their exit to global software company Idera Inc.
- Advised Automobile Dacia SA, part of the French Automotive Group Renault, in relation to the lease of a property development in Bucharest including a 39,000 sq.m. Class A build-to-suit building.
- Advised British American Tobacco Romania, one of the world's leading multinational companies, in connection with a series of warehouse leases totalling around 45,000 sq.m..
- Advised UPC Romania, the local subsidiary of Liberty Global in relation to the lease of three floors totalling an area of approximately 6,000 sq.m. within a Class A building, to consolidate in the building all the client’s staff from existing offices elsewhere in Bucharest.
- Advised Wirecard on the acquisition of Provus, a leading payment processing and technological service provider.
