The team consistently demonstrates insight into the business needs, challenges and legislative issues impacting clients in key industries in Thailand and surrounding countries, i.e.; private equity, Information Communications Technology (ICT), high-value manufacturing, energy, retail, petrochemicals, banking and finance, securities, insurance, engineering, healthcare, real estate, mass transport, food and beverage. Our lawyers are also sought out given their longstanding experience in offerings under Rule 144A and Regulation S of the U.S. Securities Act.

Longstanding experience with leading international and domestic clients on benchmark Thailand/cross-border transactions: DEBT– Canopus International Ltd., a Mauritius entity andIndorama Ventures Plc. (IVL), Thailand’s largest integrated polyester producer and world’s second largest PET producer, on issuance/sale of zero coupon secured exchangeable bonds by Canopus, exchangeable into ordinary shares of IVL outside the U.S. under Rule 144A/Regulation S under U.S. Securities Act. The bonds were listed on the SGX. EQUITY– Central Retail Corporation Plc. on Thailand’s largest equity IPO by market value capitalization to date, valued at USD2.595B.

The Capital Law M&A team has extensive experience in advising leading corporate clients, particularly those listed on the Stock Exchange of Thailand (SET). Expertise includes acting for private companies, domestic and foreign, on ground-breaking and innovative transactions, including share and asset acquisitions/disposals, Real Estate Investment Trust, tender offers, reverse takeovers, joint ventures, amalgamations, and corporate restructurings including tax advice and restruturing. The firm is equally well recognized for advising sellers and purchasers on complex, cross-border M&A transactions. Sector expertise is broad, with this legal team having in-depth understanding of the special issues, business trends and legislation involved in key industries in Thailand and across Southeast Asia. i.e.: retail, financial services, aviation, insurance, energy, petrochemical, healthcare, media, real estate, hospitality, and F&B.

Long-standing experience with leading international clients and international transactions: Significant examples: CVC Capital Partners, British private equity organization on the acquisition of a 50% stake in Ngern Tid Lor Co., Ltd., a wholly-owned subsidiary of Bank of Ayudhya, with a transaction value of USD 252M; Central Retail Corporation Public Company Limited, PBHD Limited, and COL Public Company Limited (“COL”) in acquiring all shares in COL, with a transaction value of approximately USD 406.45 million.

Consistently meeting/exceeding client expectations: Focus on clients’ timeframe for deal structuring / closing – met without fail, notwithstanding unique time constraints. Significant example: Mizuho Asia Partners Pte. Ltd. and KKP Securities Public Company Limited for their share acquisition in ISS Facility Services Company Limited, with a transaction value of approximately USD 112.9 million, The Government Savings Bank in its joint venture in Fast Money Company Limited with Srisawad Corporation Public Company Limited, with a transaction value of approximately USD 49.98 million, and Coalition Capital Partner Pte. Ltd. In its acquisition of shares in international school business, with a transaction value of Baht 488 Million.
