Extensive experience in corporate law including compliance, restructure, M&A, tax and employment matters working with large local and international conglomerates. Possesses a market leading practice in real estate arena. Amina was appointed by ADB and attended the Urban Primary Healthcare Project undertaken by the Local Government Division of Bangladesh. She has recently completed another urban development project on Narayanganj City Development. Advised in some projects in the energy/ infrastructure sector with extensive PPP/infrastructure transaction advisory experience. Recent transaction highlights include:
• Advising ADB in project finance mandated to a renewable power project with aggregate capacity of 100MW+. Acted as lender’s counsel for China Export-Import Bank (CEXIM) in the USD 2.4 billion 2x662 MW Patuakhali Thermal IPP. Lender’s counsel for China Development Bank (CDB) and Bangladesh Infrastructure Finance Fund Limited in Dhaka Bypass Expressway. Acted for China Shandong and Sinohydro in project financing of the First Dhaka Elevated Expressway. Acted for CEXIM, CDB, Industrial & Commercial Bank of China, Citic Bank, and Agricultural Bank of China in numerous project financing matters. Acted for Sinosure in four thermal and three solar IPPs.
• Engaged as legal counsel by IFC in three PPP technical advisory mandates for Maheshkhali LNG Terminal, Patenga Container Terminal and Dhaka Airport 3rd terminal. Acted for sponsors / lenders in project development of major economic zones including Chinese Economic Zone at Anwara and China - Bangladesh Iron & Steel Production Zone. Advised AFD in project financing of Urban Governance and Infrastructure Improvement - III project. Acted as Lender's Counsel for ADB, AFD, IFC, European Investment Bank, Islamic Development Bank, Finnish Fund for Industrial Development, Societe Generale, and so on in numerous projects.
• Acted in developing in many power projects for clients like General Electric, Blackstone, Beringia, AES, El Paso etc. She has been instrumental in developing the renewal power ecosystem in Bangladesh as acted in the first two of th three awards in renewables IPPs representing Sinenergy and Sun Edusin. Sinenergy developed the first utility scale solar park in Sutiakhali. She Represents major developers in renewable such as Scatec Solar, in Vogt, Cyclect Energy, Fujiun Youngfu, CMEC, Total, ZTE, Sharp, etc. She also acted for CMEC in the first waste-to-energy power plant and the first solar-gas-battery integrated project at Bay of Bengal.
• She has a leading real estate practice in Bangladesh and her team frequently undertakes real estate due diligence matters especially for large projects such as solar parks, economic zone and so on.
• She also acted for Excelerate Energy in the first LNG terminal in Maheshkhali. She also regularly advises midstream and aspects of energy industry. Her clients in this sector includes British Petroleum and Shengli Petroleum. She advises both Santos and Kris-Energy on their operational aspects in its operation and Sinopec in a JV with Bapex. Acted in gas pipeline projects such as Jamuna Bridge-Bheramara, Bakhrabad-Shiddirganj, Hatikumrul-Bheramara, deep-sea to Eastern Refineries, and Maheshkhali LNG pipeline projects.
• Advises on FIDIC and other EPC contracts. She was a member of the team advising Sinohydro on the Padma River Control Contract for Padma Bridge ans Samsung on the Dhaka Airport 3rd Terminal. Other major clients include CEEEC, CSCEC and other major Chinese developers. Acted for Tecnosteam Energy in developing three gas compression station funded by ADB.
• Major M&As include the Shenzhen Stock Exchange/Shanghai Stock Exchange acquisition of significant stake in Dhaka Stock Exchange, Capital Alliance Ltd. acquisition of a merchant bank Santos divestment, Zhenhua's USD2 billion bid for three gas fields, China Huadian acquisition of a 70 MW solar park, Powerchina acquisition of a 100MW solar park, Aster and Blackstone merger, Microsoft acquisition of Nokia business undertakings, Nokia acquisition of Alcatel Lucent, ITS acquisition of Huawei business undertakings, acquisition of tower company stakes by M1, Towershare, Kwap, Khazanah and so on, Airtel demerger, acquisition of data centres, and the acquisition of stakes in mobile operators in Bangladesh.
• Has been advising on large foreign direct investment matters such as Pepsico's investment in a manufacturing facility, United Biscuit Group's USD 300 million investment in a manufacturing plant under a joint venture with ACI, Associated British Food in its investment under a co-packing model, and so on.
• Major corporate restructure clients include Malaysian Airlines, Pendaker Energy, Walmart, JC Penney, General Electric, Kiabi, and so on. She has been representing a number of clients in creditor winding up matters and clients include China Harbour, Apstar, Sony-Set Max, Aercap, General Electric Capital and so on.
