Career

Ioanna (Rea) has joined the firm in March 2010 and specializes in banking and project finance (including PPP projects and infrastructure/ energy / real estate projects) and has advised various financial institutions (both Greek and international – including IFIs) in a number of complex and demanding transactions in her areas of practice. During the last two years Ioanna has also advised the Hellenic Financial Stability Fund in a number of complex transactions related to the hive down and capital increases of two of the Greek systemic banks.

Prior to joining the firm, she held senior positions in the Legal Division of Emporiki Bank of Greece S.A. (absorbed by Alpha Bank S.A.) and has been involved in various bank projects both in Greece and abroad, including the expansion of Emporiki Bank’s in Eastern Europe.

Ioanna (Rea) has been selected as one of IFLR1000’s Women Leaders for the years 2021 and 2022.

• Financing and restructuring of the OSK 10 Attica Schools / PPP acting for the lenders (European Investment Bank, National Bank of Greece S.A. (in its capacity as managing JESSICA Urban Development Fund for Attica), Alpha Bank S.A.);

• Refinancing of the OSK 10 Attica Schools PPP acting for the new lender i.e. Alpha Bank S.A.;

• Financing and restructuring of the OSK 12 Attica Schools / PPP acting for the lenders (European Investment Bank, National Bank of Greece S.A. (in its capacity as managing JESSICA Urban Development Fund for Attica), Alpha Bank A.E.);

• Financing of the Serres Waste Management facilities / PPP (on-going) acting for the lenders (National Bank of Greece S.A.);

• Equity Financing of one of the shareholders of the Greek Regional Airports SPV acting for the lenders;

• Corporate financing of INTRACOM TELECOM solutions societe anonyme acting for the Borrower;

• Financing of two wind farms of two SPVs owned by TERNA ENERGY S.A. (ENERGEIAKI PELOPONNISOU S.A. and ENERGEIAKI NEAPOLEOS LAKONIAS S.A.) acting for the lenders (European Investment Bank and Alpha Bank A.E.);

• Financing of the Kafireas wind farm project involving the building, maintenance and operation of a wind farm power plant with a total capacity of 154,1MW, and structured via seven (7) separate wind park companies (SPVs) acting for the lenders (Alpha Bank A.E. and Eurobank Ergasias S.A.) - not closed;

• Financing of the STEFAN AIR ENERGEIAKI S.A. (being a company belonging to MOTOR OIL Group) wind farm project (a total installed / licensed capacity of 10.9MW, aiming to be increased to 11.9MW, in the Municipality of Tanagra, Regional Unit of Voiotia acting for the lender (Alpha Bank A.E.)

• Renegotiation of finance and security documents concerning the refinancing of the McArthurGlen Designer Outlet, Athens -acting (as local counsel) for the lenders (Alpha Bank A.E., Piraeus Bank S.A. and HSBC Bank Plc);

• Review of Offering Memorandum, Purchase Agreement and Indenture in relation to the issuance by NUFARM AUSTRALIA LIMITED of senior guaranteed notes guaranteed, amongst others, by a Greek company belonging to the Nufarm Group acting for the Greek guarantor;

• Financing of the EVIA complex wind farm project involving the building, maintenance and operation of nine (9) wind farm power plants (owned and operated by TERNA ENERGEIAKI S.A.) acting for the lender (Alpha Bank S.A.) sed;

• Financing of the acquisition and development of eight (8) land plots of a total surface of 71,000 m2 in the Athens Riviera by Hines & Henderson Park acting for the lender Alpha Bank of Greece S.A.;

• Financing of the acquisition and development / conversion of a building complex, located on 97, Syngrou Ave. & Lagoumitzi Str., Athens (on a (4.704,61) sqm plot of land), into two office buildings together with parking spaces and other auxiliary spaces owned and operated by a subsidiary of DIMAND S.A. acting for the lender Alpha Bank of Greece S.A.;

• Equity financing to one of the shareholders belonging to Copelouzos group of companies related to the financing of the Greek Regional airports financing acting for the lender Alpha Bank of Greece S.A.;

• Financing of the acquisition and refurbishment of the building situated at 40, Amalias Ave & Pittakou street & 1, Periandrou street, Athens,and owned by Ethniki Hellenic General Insurance S.A. which was to be sold to a Company belonging to the ZOIA Group of companies acting for the lender national Bank of Greece S.A. - not closed;

• Hellenic Financial Stability Fund: acting as Greek legal counsel for the Hellenic Financial Stability Fund amongst others, (i) on various matters related to its relationship agreements with the Greek systemic banks in which HFSF retains equity positions following the recapitalization process of the Greek banking sector during the period 2011-2015; (ii) the hive-down process of Piraeus Bank and Alpha Bank; (iii) the placement of the €2 bln contingent convertible bonds issued by Piraeus Bank in the hive-down process of the bank and its conversion into shares; (iv) the latest share capital increase of Piraeus Financial Holdings S.A. and (v) the latest share capital increase of Alpha Services and Holdings S.A. after Alpha Bank S.A. hive down.
