Career
Theodore Rakintzis is a partner of the firm with significant expertise on banking and finance, capital markets, M&A and real estate law.
Theodore has led KG’s practice during the last decade in breakthrough transactions with transnational elements including the relisting of Coca-Cola Hellenic to the LSE and the relocation of its seat from Athens to Switzerland, the relisting of Titan Group to Euronext Brussels and Paris and its secondary listing in ATHEX and the acquisition of various foreign companies in Turkey, the US, UAE and Europe by the Frigoglass Group. He has also advised international and domestic groups in high profile restructurings as well as IPOs, rights issues and take over bids. His banking and finance expertise includes representing banks and financial institutions as well as corporate borrowers in complex financing structures as well as NPL portfolio acquisitions.
Theodore is also a member of KG’s Private Wealth Structuring Practice Group. He has long established experience in advising family offices and individuals on various private law aspects, such as inheritance and succession planning, wealth structuring, asset transfer and asset protection and establishment of trusts and is further involved in many art-related projects.
Moreover, Theodore regularly advises certain prominent non-for-profit organizations, e.g. A.G. Leventis Foundation, DESTE Foundation for Contemporary Art, Parnassos Literary Society, MDA Hellas and Aurora.
He has also published various articles in the international business legal press and is actively participating as key speaker in international conferences.

• HSBC acting as financial advisor and listing agent in the exchange offer leading to the relisting of the cement production group of Titan from the Athens Exchange to Euronext Brussels and Euronext Paris as well as its secondary listing in the ATHEX

• Hotel-owning company MIKROLIMANO SA in the acquisition of the hotel MISTRAL in the area of Piraeus.

Restructurings
• The global ICM Manufacturer Frigoglass in its recapitalization process – IFLR Deal of the Year 2018 nominee.
• Alpha and Piraeus Bank in the restructuring process of the construction company AEGEK SA.
• Alumil Group in the restructuring process it has been engaged seeking refinancing of its existing debt in combination with selecting suitable third party investor.
Banking & Finance
• Piraeus Bank in its 25 m Euro financing to CVC for partial acquisition of the VIVARTIA group of companies
• Frigoglass in its 250m Euro high yield bond offering.
• the consortium composed by Snam, Enagás and Fluxys (the “Consortium”) on a >10-year non-recourse acquisition financing corresponding to approximately 65% of the enterprise value to fund the acquisition, through Senfluga Energy Infrastructure Holdings (“Senfluga”), of a 66% stake of the Hellenic Gas Transmission System Operator S.A. for a consideration equal to € 535 million.
• Greek real estate company KYKLAMINO SA in its 35 million Euro issuance of bond notes covered by Alpha Bank.
• Pizza Hut and KFC franchisee, Foodplus SA in the refinancing of its 5 million Euro bond covered by a syndicate of Greek banks.
