Iwan joined Makes and Partners at its inception in 1993 and has been a Senior Partner in the Firm since 1997. He has over three decades of experience and heads the Firm’s award-winning Capital Market practice group.

Career

Iwan is regarded as one of the pre-eminent legal experts in Indonesia and is respected and sought after by domestic and foreign clients, and even regulators for his expert insights and advice. He has led the Firm in successfully completing some of the biggest and landmark IPOs in Indonesia in the past three decades, including, most recently the IPOs of Mitratel (as counsel to the Banks) and Blibli (as counsel to Blibli), the second and fifth biggest IPOs, respectively, in Indonesia to date. Clients say that he is “astute and knowledgeable” and that his expertise in Capital Market is indeed, “unparalleled”.

Iwan always strives to live up to the expectations of the clients and therefore even in some of the most complicated transactions, he tries his best to develop solutions that are creative and practical at the same time. He is a pivotal and crucial member of the team and the significance of his role is evidently proven through the Firm’s well-established and long-standing reputation as a forefront in the Indonesian capital market practice area for the past 31 years. Iwan continues to distinguish himself from most capital market lawyers by not only possessing an in-depth knowledge and experience of this practice area, but rather in establishing a close relationship with mutual respect amongst various regulators and other revered personnel in the Indonesian capital market scene. As a result, his strengths are what ultimately garners the continuous trust from clients for some of the most complex capital market transactions in Indonesia.

Personal

Iwan’s personal philosophy is to never give up. He has the perseverance and passion to never give up on every difficulty he faces, both in his daily life and in his work. He always finds his way to solve tough transactions with his passion and has the courage to face every hurdle that he meets with excellent work.

He is very active in the social field, such as pro-bono work, community services, and charity work. For his community services, he often teaches law students at several universities, especially in the field of capital markets. In addition, he also often speaks in seminars and helps some notary organizations as part of his activities.

Work Highlights

As a Senior Partner, Iwan has played a significant role in several high profile and complex transactions that span across Makes & Partners’ practice areas, including representing / acting for the following:

- various international banks, in the mega-IPO of Mitratel, a subsidiary of state-owned PT Telkom Indonesia (Persero) Tbk, which was hailed as the second largest IPO in the history of the IDX to date.

- PT Global Digital Niaga (a member of the Djarum Group, popularly known as Blibli) in connection with its qualifying investment in PT Aplikasi Karya Anak Bangsa (GoJek), a decacorn startup in Indonesia.

- PT Bank Mandiri (Persero) Tbk with the issuance of shelf/continuous green bonds offering.

- PT Mora Telematika Indonesia Tbk. in its Initial Public Offering (IPO).

- PT Profesional Telekomunikasi Indonesia, the largest independent tower owner and operator in Indonesia, in the mega acquisition of 94.03% shares in PT Solusi Tunas Pratama Tbk through a bidding process. This deal was the second biggest acquisition deal in Indonesia in 2021.

- PT Bank Ganesha Tbk. in its pre-emptive rights capital increase through the issuance of new shares, in order to meet the OJK requirements for banks in fulfilling the minimum core capital requirement of IDR3 trillion by 31 December 2022.

- PT Bentoel International Investama Tbk. a giant multinational tobacco company in carrying out a Go-Private process under OJK Regulation No. 3/POJK.04/2021 on the Implementation of Capital Market Activities.

- PT Bank Victoria International Tbk. (“BVIC”) one of Indonesia’s biggest private banks, in conducting a series of capital increases with pre-emptive rights to its public shareholders, with common shares originating from BVIC’s portfolio shares.

- First REIT, the first real estate trust of an Indonesian company, in its IPO on the SGX-ST.
