KELLY LAZAROFF is a member of the Global Finance group, representing private equity firms, public and private companies, commercial banks, asset managers, finance companies and private credit funds in a wide variety of commercial lending transactions ranging from financings for middle market companies to broadly syndicated credit facilities for companies with extensive international operations. Kelly focuses her practice on acquisition and other leveraged financing, including asset-based and cash flow first lien and second lien financings, senior stretch or unitranche financings and mezzanine and other subordinated debt financings, advising both borrowers and lenders in syndicated, club and bilateral transactions. She has also represented debtors and creditors in workouts and restructurings in and out of court.

In addition to her leveraged finance practice, Kelly regularly advises buyers and sellers in financial asset mergers and acquisitions, as well as financial institutions and other investors in structuring and documenting joint ventures and strategic investment programs.
