Career
Rachel Jaffe Mauceri is a partner with Robinson & Cole LLP’s Bankruptcy and Reorganizations group, resident in the firm’s Philadelphia, PA office. A corporate bankruptcy and restructuring lawyer with more than 20 years’ experience counseling clients in complex bankruptcy and restructuring matters, Rachel is known as a strong communicator and collaborator with a record of success in developing client relationships across disciplines.
Rachel participates in all aspects of domestic and international restructurings and has significant transactional and litigation experience in a range of industries, including retail, health care, pharmaceutical, agriculture, energy, automotive, oil and gas, mortgage servicing, real estate, and telecommunications. Rachel’s recent creditor committee representations include the chapter 11 cases of Mariner Health Central, Inc. and Aldrich Pump/Murray Boiler (affiliates of Trane), as well as in Mallinckrodt plc and Corp Group Banking S.A., in which Rachel continues to currently represent the post-bankruptcy liquidating trustees. She has also represented debtors and various other constituents in both pre-negotiated and traditional bankruptcy proceedings as well as out-of-court workouts; counseled pension and health plans in connection with collective bargaining issues and proceedings under sections 1113 and 1114 of the Bankruptcy Code; advised indenture trustees and second lien lenders; represented borrowers and financial institutions in the negotiation and documentation of secured lending facilities; advised stalking horse and other bidders in distressed and bankruptcy-related transactions; and advised vendors, contract parties and other significant creditors and parties in interest on a variety of bankruptcy-related issues.
Rachel regularly writes and speaks on current developments in bankruptcy. She is currently Chair of the Turnaround Management Association’s (TMA) Global Chapter Presidents Council, a member of TMA Global’s executive committee and board of directors, and Immediate Past Chair of the Philadelphia/Wilmington chapter and a member of the chapter Board. She was co-chair of TMA’s Global Network of Women from 2019-21. Rachel is a member of the American Bankruptcy Institute’s (ABI) Spring NY Conference Advisory Board, and was co-chair of the VALCON conference, co-sponsored by the ABI and the Association of Insolvency and Restructuring Advisors (AIRA), from 2021-23. She is a member of the Member of the ABI and the International Women’s Insolvency and Restructuring Consortium (IWIRC) and is currently President-Elect of the Board of the Consumer Bankruptcy Assistance Project.
In addition to being listed in Chambers USA: America's Leading Lawyers for Business, Pennsylvania & Surrounds, Rachel was named as a Notable Practitioner (2022) and a Rising Star (2019-21) in the IFLR 1000 United States in the area of Restructuring, and as a Rising Star, Restructuring (including Bankruptcy): Corporate in The Legal 500 US (2019). Rachel recently was among the team members presented with the Mega Chapter 11 Restructuring Award at the 15th Annual Turnaround Atlas Awards in recognition of the Firm’s representation of the Official Committee of Unsecured Creditors for Mallinckrodt plc. She also represented Tribe 9 Foods in its purchase of Carla’s Pasta, winner of the Food & Beverage Restructuring of the Year at the 14th Annual Turnaround Atlas Awards, and The Bank of New York Mellon, as Indenture Trustee, in connection with the sale of North Philadelphia Health System, a transaction that won the 17th Annual M&A Advisor Sector Deal of the Year, in the category of "Healthcare and Life Sciences (Under $100MM)."
Rachel is admitted to the bars of New York, New Jersey, and Pennsylvania, and to the courts of the Southern District of New York, the District of New Jersey, and the Eastern District of Pennsylvania. Prior to joining Robinson and Cole, Rachel worked for two global law firms, in New York and Philadelphia, respectfully, focusing on bankruptcy and restructuring matters. She earned her J.D. from the Benjamin N. Cardozo School of Law of Yeshiva University, cum laude, Order of the Coif, where she was a supervising editor of the Cardozo Law Review, and her B.A. (Journalism) from Ithaca College. While in law school, Rachel interned for Judge Prudence Beatty Abram of the U.S. Bankruptcy Court for the Southern District of New York.
