Work Highlights

Lawyer Du led the service team members to provide compliance review for the Chengdu Financial Asset Trading Center. In response to different regulations from regulatory authorities at different times, a risk review module comprising 13 key points was designed. This module involved a detailed analysis of the product structure of financial products exceeding 200 billion in 13 categories, accurately identifying risks, and forming legal and feasible risk resolution solutions. Assistance was provided to clients in completing rectifications according to regulatory requirements and successfully completing business transformation.

Lawyer Du provided legal services for the establishment and deployment of a private enterprise relief fund set up by the local government. She also served as a member of the investment decision-making committee, participating in risk control for each deployment project. One of the fund deployments, led by Lawyer Du as the lead lawyer, involved product architecture design and risk control system construction. Lawyer Du cleverly utilized a debt + equity investment portfolio model, matching multidimensional credit enhancement measures and exit mechanisms. This included pledging of shares of listed companies, closing margin, fund share pledge and acquisition, fund investment income pledge, fund investor equity participation, third-party acquisition commitments, and real estate mortgages. In the absence of direct legal provisions for private equity fund share pledges, a guarantee method was created, intertwining fund manager registration disclosure with future fund investment income pledges, comprehensively covering fund share pledge risk points. These innovative approaches could provide reference for legislation and broaden the scope of solutions for similar issues in practice.
