Amir Gamliel represents clients in business reorganizations, out-of-court restructuring work, and litigation involving complex financial transactions. He is experienced in such industry sectors as finance, including commercial mortgage-backed securities (CMBS); technology; aerospace; real estate; hospitality; and retail. Amir provides an efficient, results-driven approach on all of his matters, drawing on his business economics and accounting background, as well as his understanding of expected utility theory and prospect theory as behavioral models of decision-making.

In his national bankruptcy practice, Amir counsels secured creditors, including through the largest CMBS special servicers in the country, as well as unsecured creditors, ranging from licensors of intellectual property (IP) to major landlords, large procurement contract counterparties, property lessors, and committees of unsecured creditors. He also advises financially troubled businesses regarding bankruptcy and nonbankruptcy alternatives, and directors and officers of such businesses on mitigating litigation risk. Amir represents buyers in distressed asset and debt acquisitions and maintains a robust practice defending parties in preference and fraudulent transfer avoidance actions.

In his restructuring practice, Amir counsels parties on complicated supply chain issues, including access and accommodation agreements, assignments for the benefit of creditors, and orderly dissolutions. Amir has presented programs on complex bankruptcy transactions (including at the UCLA Anderson School of Management), receiverships, preferences and fraudulent transfers, national retail tenant bankruptcies, and other crossover issues involving financial transactions and bankruptcy law. He also frequently provides thought leadership through industry publications, including most recently publishing an article entitled The Enforceability of Make-Whole Premiums in Bankruptcy, which appeared in the May 2023 issue of the American Bankruptcy Institute Journal.
