Andrew has more than 35 years of experience in the areas of corporate governance, securities regulation, corporate finance, mergers and acquisitions and strategic divestitures. Representing both issuers and underwriters, he has served as the lead lawyer on over 150 public debt and equity offerings for companies such as Boeing, Esterline, Itron, Idaho Power, Outerwall, PACCAR, Puget Sound Energy, Starbucks, Weyerhaeuser and ZymoGenetics, among others. He also regularly handles significant strategic assignments for a number of public companies, boards of directors and special committees, including advising on relationships with activist shareholders, proxy contests, evaluating strategic alternatives and responding to acquisition proposals.
