Career

Before joining the firm, Mr. Zhang worked over five years at a UK Magic Circle firm with a focus on M&A.

Mr. Zhang regularly advises Philips, SUEZ, Walmart, Chubb, Hershey’s, Herbalife, Sony, Eastman, Maserati, Ferrari, Lotus, Essilor and many other corporate clients on different types of corporate transactions and regulatory issues.

Before his M&A and corporate law career, Mr. Zhang had over four years of experience in litigation, arbitration and dispute resolution.

M&A:

-Advised ABB in the disposal of equity interests in three joint ventures to the A-share listed company SGEG in what constituted a Material Assets Restructuring of SGEG (2019)

Advised ABB in the acquisition of a charging port business in Shanghai (2019).

-Advised Signify (formerly Philips Lighting) in a strategic acquisition of Klite (凯耀照明), a lighting business in Zhejiang Province (2019).

-Advised Sateri in a multi-billion distressed assets acquisition of a chemical fiber production business in Jiangsu Province (2018/2019) and in an acquisition of a chemical fiber producer in serious financial difficulties (2015).

-Advised Joyson (均胜电子) in acquiring Japanese auto components manufacturer Takata’s (高田气囊) global business through bankruptcy procedures in the US and Europe and through assets acquisition in China (2017/2018)

Advised Philips in the disposal of its water purifier business in Asia to a Chinese buyer (2017/2018) and in a multi-billion acquisition of POVOS, a leading domestic appliance manufacturer (2011).

-Advised Dupont in the disposal of its China pesticide business following its merger with Dow Chemical (2017)

Advised Sony in the sale of its camera module business to a Chinese listed company (2016) and in the sale of its interest in a home appliance repair joint venture to the joint venture partner (2019).

-Advised Eastman Chemical in a buyout deal in Nanjing with a Japanese chemical manufacturer (2016).

-Advised Air Products in asset and business acquisitions in China involving public bids on state-owned assets, acquisitions of construction-in-progress projects and acquisitions of joint venture interests (2012 – 2019).

-Advised WIPRO in acquiring a cosmetics and personal care business from a Chinese seller (2016).

-Advised SunEdison in a series of proposed acquisitions of hydropower projects in China (2015).

-Advised Hershey’s in a multi-billion acquisition of one of the leading food manufacturing companies in China (2013 – 2014).

-Advised AEI in the disposal of and investment in power plant projects (2013 – 2015).

-Advised a state-owned investment company in its proposed acquisition of a wind power project in Inner Mongolia (2010)

Advised one of China’s largest energy companies in its bid for an overseas power generating company (2009).

-Advised ProLogis in various acquisitions of industrial and commercial properties in China (2006 – 2009).

-Advised Carlyle in its investment in China Pacific Life Insurance and China Pacific Insurance Group (Private Equity Deal of the Year, Asia Law & Practice 2007).

-Advised Standard Chartered bank in its strategic investment in Bo Hai Bank (M&A Deal of the Year, ALB Awards 2006).

-Advised JP Morgan Chase in the restructuring its China retail banking operations and in the incorporation of a WFOE bank (2006).

-Advised The Home Depot in the acquisition of home improvement chain stores in nine cities in northern China (2005 – 2006).

-Advised Goldman Sachs in its investment in Nanjin Yurun Food (雨润) (2005).

Joint Ventures:

-Advised Sony in setting up a JV in Singapore with a leading Chinese AI company to develop the application of face recognition technology (2019).

-Advised Victrex in setting up a joint venture in Liaoning focusing on high polymer manufacturing (2019).

-Advised SUEZ in a shareholding and corporate governance restructuring of a strategic joint venture in Chongqing (2017)

Advised Essilor in exiting a joint venture in Jiangsu Province (2017/2018).

-Advised OTIS on the exit of a joint venture in southwest China (2015).

-Advised Chubb on the dissolution of joint ventures in China (2015 – 2019).

-Advised Rio Tinto in its investment into a joint venture for an iron ore trading platform (2013).

-Advised Yu Chai (玉柴), China’s largest diesel engine company, in its proposed joint venture with a world-leading construction machinery producer (2012 – 2013).

-Advised Morgan Stanley in its strategic investment in a joint venture securities company (2008 – 2011).

-Advised Adecco in its joint venture talks with a leading China HR service provider (2007).

-Advised Shell in setting up a joint venture with Sinopec in Jiangsu Province to run more than 500 gas stations (2000).
