Career
Christine worked for nine years at Davis Polk & Wardwell LLP in its New York, Hong Kong and Beijing offices. Christine also worked as Managing Director and Legal Head of North Asia of JPMorgan Chase, overseeing the legal function of the JPM franchise in China, Korea and Taiwan. Before joining Fangda Partners, Christine was a partner of King & Wood Mallesons, having advised on a number of complex and innovative cross-border debt and equity securities offerings.
Christine won the “Best in Capital Markets” award at the 2017 Euromoney Asia Women in Business Law Awards. Christine was also recommended by “Legal 500” in the PRC capital markets for the years 2015 and 2017.
Experience
Advised issuers and lead underwriters on Panda bond offerings by supranationals, sovereigns, financial institutions and corporations on China’s interbank bond market, including the SDR-denominated bond offering by the World Bank and RMB-denominated bond offerings by the Republic of Korea, the Province of British Columbia, the Republic of the Philippines, Hungary, Crédit Agricole S.A., United Overseas Bank, Cassa depositi e prestiti S.p.A., the Bank of Tokyo-Mitsubishi UFJ, BMW Group, Sun Hung Kai Properties Limited and Hengan International, etc.
Represented issuers or underwriters on equity and debt (senior, subordinated, guaranteed, convertible and hybrid) securities offerings in the US and non-US markets, in registered (including IPOs, shelf registrations and takedowns) and non-registered (under Rule 144A, Regulation S and Section 4(2)(a)) offerings, in particular:
Advised on a number of registered, 144A and Regulation S debt offerings (including those by CITIC Securities, Nanjing Southeast State-owned Assets Investment Group, Zhongyuan Asset Management, ICICI, CMC Magnetics, Banco Santander-Chile, CIGNA Corp., Avon Products, Unitrin, Montpelier Re, Devon Energy Corp., Valero Energy Corp., The May Department Stores Company, Celgene Corporation, Bombardier, K. Hovnanian Enterprises, Playboy as well as offerings of USD notes backed by PRC local government bonds), and
Advised on a number of hybrid securities offerings by financial institutions (preference share offering by Guangzhou Rural Commercial Bank and Bank of Zhengzhou, trust preferred securities offerings by UBS and Rabobank Nederland, and hybrid securities offerings by Liberty Mutual, Nationwide Financial Services, Travelers Companies and AIG)
Advised on a number of Hong Kong IPOs and global offerings by major PRC banks (including China Construction Bank, Agricultural Bank of China, Industrial and Commercial Bank of China, China Merchants Bank, Bank of Qingdao, Bank of Zhengzhou and Guangzhou Rural Commercial Bank) and rights offering by China Merchant Bank
Advised on a number of NYSE and NASDAQ IPOs and follow-on offerings by US and non-US issuers (including Verisk Analytics Inc., Banco Santander-Chile, and Solarfun Power Holdings), Hong Kong IPOs and follow-on offerings by China-based issuers (including China Building Materials, China Digital Video and Fosun), and GDR offering and listing by Huatai Securities on the London Stock Exchange under the London-Shanghai Stock Connect regime
Advised the New York Fed on its USD 16 billion debt-for-equity swap with AIG, ABN AMRO on its sale of La Salle Bank to Bank of America, and advised the St. Paul Companies on its merger with Travelers Property Casualty Corp, and
Advised companies listed in the US and private equity funds on US securities law and corporate governance matters
Advised foreign and PRC financial institutions on various financial regulatory matters, including accessing China’s interbank markets and securities markets as well as compliance with PRC financial regulations
