Deepening his knowledge, Brendan served an eight-month secondment as general counsel to a top investment bank's equity capital markets group in 2007.
Work Highlights
IPOs and ASX listings: advised issuing companies including for Openpay, Murray River Organics, Touchcorp, Huon Aquaculture, Godfreys, Tatts Group and Kathmandu, and on secondary raisings for Myer, Orion Minerals, Skilled Group, Toll Holdings, Oxiana, among others.
Capital raisings: acted for investment banks and brokers, including IPOs of Qualitas, Redbubble, Myer, Japara Healthcare, Regis Healthcare and carsales.com, and secondary raisings by Macquarie Group, JB HiFi, Kelsian, Metcash, Estia Health, Lihir Gold, among others.
Blackstone Group: advised on the IPO aspects of the dual track disposal (simultaneous IPO and trade sale auction) of its Australian logistics portfolio, "Milestone", comprising 45 industrial logistics facilities across Australia, and an internal management platform. This transaction was ultimately executed as a A$3.8 billion trade sale to ESR Partnership.
GFG Alliance: advised on the $700 million acquisition of Arrium Australia from administration, leading to ongoing advice for GFG Alliance, including InfraBuild's $300 million high yield bond offering.
Interactive: advised this Australian end-to-end IT services provider on its acquisition of Slipstream Cyber Security.
New Era Technology: advised this global managed services and technology solutions provider on its acquisitions of 4Logic, CrossPoint Technology Solutions, OAS Computers and Vintek.
Myer: acted on its acquisition of Sass & Bide and related shareholder arrangements, and of fashion brands Wayne Cooper, Bauhaus and Trent Nathan.
Major public M&A transactions: acted for Tatts Group on its merger with UNiTAB valued at $3.8 billion, and Oxiana on its $12 billion merger with Zinifex to create Oz Minerals.
Corporate structuring, equity funding arrangements and FIRB approval requirements: advising numerous major infrastructure PPP projects, including North East Link, Footscray Hospital, High Capacity Rolling Stock, Victorian Comprehensive Cancer Centre, Westadium (New Perth Stadium), Victorian Desalination Plant.
Centro Retail: advised on the $5.374 billion restructure and aggregation, one of Australia's most complex restructures.
