Specialises in all type of M&A and capital market transactions including public takeovers, takeover defenses, restructuring of listed companies, distressed M&A, governance matters, IPO and equity offering. Practice as litigator in public takeovers and AMF investigation. Major recent transactions include advising: Casino on (i) its €6bn restructuring, (ii) the €1.3bn sale of Hypermarkets and Supermarkets to Auchan and Intermarché, (iii) the $700m sale of Assaï and (iv) the €1.4bn sale of its stake in Green Yellow to Ardian; Orange on (i) the sale of Orange Cinéma Séries and Orange Studio to Canal + and (ii) the €1.3bn sale of its stake in Orange Concessions; Engie on the €3.4bn sale of its stake in Suez to Veolia; Vinci on the €4.9bn acquisition of ACS’s energy business; Total on the $8.8bn acquisition of Anadarko’s African asset; the French State on the privatization and IPO of Française des Jeux; Rallye on its €3.5bn restructuring; Terreis on the €1.7bn sale of real estate assets to Swiss Life.
