Career
Prior to founding Tiger Partners, Mr. Liu worked as a lawyer at Zhong Lun Law Firm (2009-2010), King & Wood Mallesons (2012-2014), and Fangda Partners (2014-2018), and served as a partner lawyer at Jingtian & Gongcheng (2018-2019).

Work Highlights
Represented an investment institution with an investment scale of over RMB 40 billion in a dispute with the controller of a top entertainment company in the Beijing Arbitration Commission over a deficiency agreement. The subject matter of the case was over RMB 450 million. The case involved complex legal issues such as flaws in signing contracts, the validity of guaranteed contracts signed by the controller, and multi-layer trust investment transaction structure. In the end, Mr. Liu won the case on behalf of his client.
Represented a well-known domestic entrepreneur in the energy industry in the battle for the control of a leading domestic mobile charger enterprise. The share interests involved in the case were valued at upwards of RMB 2 billion. The case involved complex legal issues such as the determination of the nature of the equity contribution payment and the determination of the conversion of the equity held on behalf of others to the substantive holding through factual acts. In the end, Mr. Liu won the case on behalf of his client.
Represented an investment institution with over RMB 100 billion in assets under its management to request a state-owned financial institution to vacate from the property in this case and pay for possession and use of the property. The subject matter of the case was approximately RMB 100 million. The case was protracted, and Mr. Liu firstly determined the ownership of the property for the client in a related litigation case, and then filed a vacate lawsuit to fully protect and realize the client’s commercial interests.
Represented a leading industrial investment and merger and acquisition institution in a stock repurchase dispute with a domestic leading artificial intelligence and big data enterprise in the Beijing Arbitration Commission. The subject matter of the case is around RMB 300 million. The case is a typical repurchase case triggered by the founder’s violation of non-competition obligations, has representative significance in stock repurchase disputes. Eventually, Mr. Liu won the case on behalf of his client.
Represented a leading domestic technology innovation investment company in filing an equity repurchase arbitration against the invested company and its actual controllers at the China International Economic and Trade Arbitration Commission. The case involved a claim of approximately RMB 100 million. Mr. Liu successfully led the client to reach a settlement with the opposing party from a position of absolute advantage.
Represented a leading domestic construction company in an arbitration against a well-known real estate enterprise and its actual controller at the Beijing Arbitration Commission. The arbitration sought to compel the respondents to pay all due equity transfer proceeds and assume joint and several guarantee liabilities. The case involved a claim exceeding RMB 300 million.
Represented a leading NASDAQ-listed coffee and soft drink sales company in a directors and officers liability insurance dispute case at the Shanghai International Arbitration Center. This was the first case in China with a clear ruling result regarding directors and officers liability insurance disputes, marking a milestone in the development of such insurance in the country and attracting significant media attention. Mr. Liu ultimately secured a comprehensive victory for the client, achieving a full recovery of USD 25 million.
Represented a leading domestic investment institution in an arbitration against a foreign enterprise at the Beijing Arbitration Commission. The case involved a claim of approximately RMB 140 million. It addressed complex and representative issues, such as the relationship between the responsibilities of the original shareholders as operators and their repurchase obligations post-equity acquisition. Ultimately, Mr. Liu secured a comprehensive victory for the client.
Represented a well-known real estate investment company in a lease contract dispute with the subsidiary of the largest state-owned oil and gas company in China before Beijing No.3 Intermediate People’s Court. The subject matter of the case was approximately RMB 360 million. The case involved a lease area of more than 30,000 square meters and hundreds of millions of dollars in renovation and equipment, making the facts of the case complex. At the same time, the case involved complex legal issues, including whether the internal administrative deployment of the central enterprise is force majeure, the standard of liquidated damages for the termination of the lease contract, whether the relevant liquidated damages project is established, and a large number of liquidated damages amount calculation, etc. In the end, Mr. Liu, on behalf of the client, settled the case with the other party in an absolute advantageous position and obtained full compensation.
Represented a domestic sanitation giant in filing a share transfer dispute lawsuit against a subsidiary corporation belonging to a Hong Kong Stock Exchange-listed group company with assets exceeding RMB 300 billion. The subject matter of the case was over RMB 370 million. The case attracted the attention of the government and industry insiders because it involved the investment and merger of Hong Kong real estate giant in the mainland's leading sanitation enterprise and had great social influence. After accepting the commission, Mr. Liu quickly adopted efficient litigation means in accordance with his professional judgment and sought to maximize the client’s business interests through both litigation pressure and negotiation. In the end, Mr. Liu reached a settlement with the other party on behalf of the client in an absolutely dominant position, fully realizing the client's commercial interests and demands.
Represented a leading domestic film entertainment and ticket sales company in handling ticket revenue disputes related to concert projects of well-known performers such as Wang Feng and New Pants, involving project partners and actual controllers. Mr. Liu successfully led the client to reach a settlement with the opposing party from a position of absolute advantage and ultimately secured the full recovery of the revenue involved in the case for the client.
Representing a Hong Kong Stock Exchange-listed film and entertainment company with a market value of over RMB 10 billion, to file a third-party rescission lawsuit in Beijing High People’s Court. The dispute of the case involves equities worth over USD 30 million, and legal issues such as the conditions and scope of exercising creditor’s right of rescission, legitimacy and good faith of stock transfer deals etc. The case is still in the process of the trial.
Represented the actual controller of a well-known domestic investment institution in an equity transfer dispute case against three enterprises at the China International Economic and Trade Arbitration Commission. The case involved a claim of over RMB 140 million. It addressed complex legal issues, such as whether a guarantee agreement without an arbitration clause could be adjudicated together with the main debt contract and whether equity held could be used for set-off if the debt could not be repaid on time. Ultimately, Mr. Liu secured a comprehensive victory for the client and fully achieved the client’s commercial objectives during the enforcement proceedings.
Represented a leading entrepreneur in the technology sector in equity repurchase arbitration cases initiated by a Fortune 500 foreign investment company and a Chinese local government fund at the Shanghai International Arbitration Center. The total claim amount for the three cases exceeded RMB 1 billion. These cases involved cutting-edge and highly contentious legal issues, such as the boundaries and transformation between the obligations of assisting in repurchase and the payment obligations of cash repurchase, which hold typical significance for resolving investment and equity repurchase disputes. The cases are currently still under trial.
Represented a large estate enterprise in an arbitration dispute in the Beijing Arbitration Commission against its cooperation party for the payment and penalty in relation to a large-scale investment and construction project of real estate on the coastline. Both parties’ total claims amount to nearly RMB 600 million. The arbitration procedure lasts for 3 years, involving many complex legal issues such as the understanding of capital reduction of the target company in an equity buyback, the nature of the relevant claims, and the determination of the supplementary agreements and independent agreements. Eventually, Mr. Liu won the case on behalf of the client comprehensively.
