owned and controlled); and (iv) Assisting with Closing.

5. Advising Informa Markets India Private Limited on: (i) Preparation of a red flags issues only report; (ii) Revising and

negotiating the business transfer agreement; (iv)Preparation of a consultancy agreement and deeds of assignment

to be executed pursuant to the business transfer agreement; and (iv) Generally advising on matters arising out of

the proposed transaction.
