· The Industrial Bank’s introduction of Hang Seng Bank as a strategic investor.

· Desai Electronics’ acquisition of Shenzhen Wanshan for back-door listing.

■ Overseas Listing

· Ping An Insurance’s listing on the Main Board of Hong Kong (Mr. Liu served as the Chinese lawyer of the broker)

· Haina Sports Goods’ listing on AIM of Britain (Mr. Liu served as the Chinese lawyer of the company)

■ Foreign Investment

· Represented Cathay International in acquiring two subsidiaries under Sanjiu Group. Assisted Cathay in successfully completing the full-scale acquisition of two target companies when Sanjiu itself was in a complicated situation of a major reorganization by drawing up an overall solution for a blanket transfer of the creditor’s rights, debts and equity between the two companies and Sanjiu

· Represented Canadian Romac Inc. in acquiring Hubei Yichange International Trade Group, the flagship of a large retail industry of the province, enabling Romac to become the sole largest shareholder. This acquisition project was listed as a key investment attraction project of Hubei Province in 2006 by the provincial government. After completion of the acquisition, Romac appointed Mr. Liu as a non-executive director of the Group in an expression of its full recognition of and confidence in the quality legal services of Shenzhen Branch

· Represented SK Gas of South Korea in due diligence relating to China Gas Holdings Co., Ltd. and designed the plan for strategic cooperation, laying a solid legal basis for SK’s entry into the domestic gas sector of mainland China through its cooperation with China Gas

■ Real Estate

· Provided whole-process legal services for the overall acquisition and construction of a commercial building with an operation area of nearly 100,000 square meters

· Provided whole-process legal services for Shenzhen New Age Fortune Enterprise Group to acquire a number of real estate projects worth nearly 1 billion yuan

· Provides legal services for the real estate projects of Coastal Real Estate Group in more than 10 cities on mainland China as its permanent legal adviser.

■ Financial Institution

· Provided whole-process legal services for the Industrial Bank in introducing Hang Seng Bank as sole foreign strategic investor

· Provided legal services for Tokyo Mitsubishi Bank Shenzhen Branch in an examination of its full compliance with Chinese laws
